These terms govern your use of the Reedleys website and directory (the "Service"). By accessing the site, creating an account, submitting a listing or purchasing a plan, you agree to these terms. Please read them carefully. If you do not agree with them, you should not use the Service. We may update these terms from time to time, and the date above will always show when they were last revised.

About Reedleys

Reedleys is an international quality assurance and recognition body. We operate a public directory in which organizations and individual professionals can be listed, reviewed and, where they meet our criteria, awarded a recognition rating. We are not a course provider, a certification-for-sale service, a credit rating agency, a government body or a guarantor of the businesses and professionals listed with us. Our role is to provide a transparent, independent framework for recognition. "Reedleys", "we", "us" and "our" refer to Reedleys Ltd., Office 249, 60 Tottenham Court Road, Fitzrovia, London, United Kingdom, W1T 2EW.

Your account

To submit or manage a listing you create an account, or you claim an existing listing and confirm that you are authorised to represent the organization or professional it describes. You are responsible for the accuracy of the information you provide, for keeping your login secure, and for all activity under your account. Some actions require you to verify your email address before they take effect. You must be able to form a binding agreement to use paid features.

Listings and the directory

You may browse the directory freely. When you submit a listing, you confirm that the information is accurate and that you have the right to publish it. You are responsible for keeping your listing up to date. We may review, edit, suspend or remove any listing that is inaccurate, misleading, unlawful, duplicated, or in breach of these terms. Free listings for organizations are published after review; professional profiles are not published until identity verification is complete. We do not guarantee any particular level of traffic, ranking, enquiries or results from a listing.

Plans, fees and payment

Reedleys offers free and paid plans. Current plans, their prices and what each one includes are shown on the pricing page and at the point of purchase, and they are the authoritative statement of what you are buying. In summary:

• Free tiers (Claim for organizations, Free for professionals) - build a profile at no cost.
• Identity verification (professionals) - a one-time charge that verifies your identity and lets your profile be published.
• Pro (organizations) - a monthly subscription for greater visibility.
• Recognized (organizations and professionals) - a monthly subscription that includes assessment against the applicable Recognition Standard and, where the assessment is completed, a published rating, certificate, badge and verification features.

All prices are in US dollars (USD) and are exclusive of any taxes that may apply. Payments are processed by our payment provider, Stripe; we do not store your full card details. By purchasing, you authorise Stripe and Reedleys to charge your chosen payment method for the amounts shown, including recurring charges for subscriptions. You are responsible for providing valid, current payment information. If a charge fails, we may retry it, suspend paid features, or downgrade the listing to the free tier.

A paid Recognized plan pays for the assessment and the recognition features. It does not buy any particular rating or outcome. Losing a paid feature does not delete a listing that is already published as free; it simply returns to the free tier.

Subscriptions, renewal and cancellation

Subscription plans (Pro and Recognized) are billed in advance on a recurring monthly basis and renew automatically until cancelled. You can cancel at any time from your dashboard or by contacting us. When you cancel:

• the cancellation takes effect at the end of the current paid period - you keep the paid features until then;
• your plan is not renewed and you are not charged again;
• the listing returns to the free tier, and the paid features of that plan (including any public recognition rating, badge and certificate tied to a Recognized plan) stop being displayed - see Displaying and withdrawing recognition.

A one-time charge, such as identity verification, is not a subscription and does not renew.

Refunds

Because our fees pay for work we carry out (assessment, verification and the delivery of recognition features) rather than for a guaranteed outcome, the following applies unless a different right is required by applicable law:

• Subscriptions are charged per billing period. You may cancel at any time to stop future charges, but part-used periods are not refunded and cancellation does not retroactively refund periods already billed.
• Assessment and recognition fees are non-refundable once the assessment has begun, including where the result is a lower rating than expected or where recognition is not issued. The fee buys the assessment, never a specific outcome.
• One-time verification (such as identity verification) is non-refundable once the verification process has started.

If you believe you were charged in error, or a duplicate or incorrect charge was made, contact us and we will review it in good faith.

How recognition works

Reedleys Recognition reflects our independent assessment of a listing against the published Reedleys Recognition Standard applicable to its profile type, as explained on our recognition page and against the criteria set out on our standards page. Recognition is awarded as a pass or fail outcome: a listing that meets the applicable requirements is awarded Reedleys Recognized status, and may additionally qualify for badges or awards that highlight specific strengths. Recognized status and verification badges are awarded on the basis of the information available to us and the checks we carry out. A Recognized status or badge is a statement of our opinion at a point in time. It is not a warranty, a certification of fitness, a credit score, a licence or a guarantee of future performance, and it does not transfer to third parties.

Rating decisions and disclosure

Assessment is carried out at our sole and reasonable discretion. Rating decisions are final. While our standards page explains, in general terms, what we assess, the evidence we accept and the possible outcomes (Meets, Partially Meets, Does Not Meet, Not Applicable), we are under no obligation to disclose the internal weightings, scoring, comparisons or the specific reasoning that led to any particular rating, and we do not enter into correspondence disputing why one rating was awarded rather than another. We may reassess, change, suspend or withdraw a rating or badge at any time if new information comes to light, if information proves inaccurate, if circumstances change, or to maintain the integrity of the directory.

Displaying and withdrawing recognition

Recognition is presented publicly only while it is active and subscribed. Two things follow from this:

• You may choose not to display an assigned rating. Even where an assessment has been completed and a rating assigned, you can choose not to show it on your public profile. The underlying assessment record is unaffected; you simply control whether the rating, badge and certificate appear publicly.
• Cancelling the Recognized plan removes the public recognition. The published rating, recognition badge, certificate and public verification status are features of the Recognized subscription. If you cancel that subscription, or it lapses for non-payment, the public recognition is withdrawn from your profile and from public verification, and the listing returns to a non-recognized tier.
• A hidden rating stays assigned for one year. When a Recognized subscription is cancelled, the assigned rating is hidden from public display but remains attached to your company for one year from the date it stops being shown. If you resume the Recognized subscription within that period, the rating can be displayed again. After one year it may lapse, and a fresh assessment may be required before recognition can be shown again.

Withdrawing recognition from public display does not entitle you to a refund of fees already charged, and we may retain an internal record of an assessment. We may also independently remove or withhold the public display of a rating or badge where required by these terms.

Verification of domain and identity

"Verified" is distinct from "Recognized". Domain ownership verification for organizations is automatic and free. Identity verification for professionals is carried out through a secure verification process and is required before a professional profile can be published. Verifying a domain or an identity confirms a specific fact (ownership or identity); it is not an assessment of quality and does not by itself constitute recognition. You must not attempt to verify a domain, identity, qualification or record that is not genuinely yours or that you are not authorised to submit.

Reviews and user content

Reviews and other content submitted to the directory must be genuine, based on real experience, and free of unlawful, abusive, deceptive or infringing material. We may moderate, decline or remove content that does not meet these standards, without being obliged to explain each decision. You retain ownership of the content you submit, and you grant us a worldwide, royalty-free licence to host, display, adapt for formatting, and distribute it as part of operating and promoting the directory.

Updates to the Recognition Standards

The Reedleys Recognition Standards are versioned and may be revised over time to reflect changes in technology, business and professional practice, regulatory expectations and available methods of verification. Each published version carries a version number, an effective date and a last-reviewed date. When we update a standard:

• the current version and its dates are shown on the standards page;
• changes apply from the stated effective date and are not applied retroactively to a completed assessment;
• an existing recognition remains valid under the version it was assessed against until the listing is reassessed - for example on renewal, on a material change to the listing, or during a periodic review;
• where a change is significant, we aim to give reasonable notice before it takes effect.

Continuing to use the Service, or to hold a recognition, after a standard is updated means the current version applies to any new or repeated assessment.

Intellectual property, badges and certificates

The Reedleys name, wordmark, rating marks, recognition badges, certificates and site content are our property or that of our licensors and are protected by intellectual property laws. While your recognition is active and subscribed, we grant you a limited, non-exclusive, non-transferable, revocable licence to display the badge and certificate issued to your own listing, without alteration, to represent your own recognition truthfully. You must stop using them if the recognition is withdrawn or lapses. You must not use our marks in a misleading way, imply recognition you have not been awarded, or reproduce our content beyond your own listing without permission.

Business profiles, directory information and third-party content

Directory profiles

Reedleys operates a public directory of businesses, organizations and professionals. A profile may be created by the listed business or professional, by Reedleys, or from publicly available, official, licensed or other third-party data sources. A profile may exist before it has been claimed or verified by the business or professional it relates to, and where applicable we may mark such a profile as Unclaimed, Not verified or with a similar status. The existence of a profile does not mean that the listed business or professional has registered with, approved, endorsed, sponsored or otherwise established any relationship with Reedleys.

Business and professional information

We may collect, compile, organize and display factual directory information about businesses, organizations and professionals, where available - including business or professional name, trading name, business category or profession, address and general location, telephone number, website, other publicly available contact information, opening or operating information, services or areas of activity, and other factual information relevant to the profile. This information may originate from public websites, official registers, licensed data providers, other publicly available sources, information submitted by users, or information supplied directly by the listed business or professional. We take reasonable steps to keep directory information useful and accurate, but we do not guarantee that information in an unclaimed profile is complete, current or error-free. Businesses and professionals may ask us to correct inaccurate information through the applicable profile update, claim or contact process.

Names, logos and trademarks

The directory refers to, and displays information about, real organizations and professionals. Company and product names, trading names, brand names, trademarks, service marks, logos and other brand identifiers that appear on Reedleys remain the property of their respective owners. Where permitted by applicable law, we display them for the limited purpose of identifying, referring to or distinguishing the business, organization, professional, products or services a profile relates to, so that visitors can accurately find and recognise the company or person they are looking for. Their appearance does not imply any partnership, endorsement, affiliation, sponsorship or approval between Reedleys and the rights holder, and does not indicate that the owner is associated with or endorses Reedleys, unless we state otherwise in writing. Reedleys claims no ownership of, and no rights in, third-party names, trademarks or logos beyond the limited right to display them for the identification and directory purposes described here.

Reedleys-prepared profile descriptions

For unclaimed or incomplete profiles, Reedleys may prepare short descriptive content based on information obtained from publicly available, official, licensed or other reasonably reliable sources. Such descriptions are intended as a neutral summary of what a business or professional does, the services or activities associated with the profile, and its general location or area of operation. Unless we expressly state otherwise, a Reedleys-prepared description:

• has not necessarily been written, supplied or approved by the listed business or professional;
• does not constitute an endorsement or recommendation by Reedleys;
• should not be interpreted as a guarantee of the quality, qualifications, performance or reliability of the listed business or professional; and
• may be corrected, updated or replaced if more accurate information becomes available.

We seek to avoid unsupported promotional or evaluative claims in descriptions prepared for unclaimed profiles.

Illustrative and category images

We may use licensed, stock, commissioned, generated or otherwise lawfully available images to give directory profiles a consistent visual presentation. Where an image is used as a generic visual representation of a category, profession, industry or type of service rather than as an actual photograph of the listed business or professional, we may identify it as a "Category illustration" or with similar wording. A category illustration is not intended to represent the actual premises, employees, owners, customers, equipment, vehicles, facilities, products or completed work of that specific business, or any other factual characteristic of it. Where appropriate we may add wording such as "Illustrative image for this category. Not provided by the business." Illustrative images should therefore be understood solely as visual representations of the relevant business category or profession. Where a claimed business or professional submits its own logo, photograph or other image - confirming that it owns the image or is authorised to use it and to grant us the right to display it - that image may be displayed separately as content provided or authorised by the profile owner. Reedleys is not responsible for material provided by users, and reliance on any name, logo or image is at your own risk.

Claimed and unclaimed profiles

Information displayed on an unclaimed profile may have been compiled independently by Reedleys and has not necessarily been reviewed or confirmed by the listed business or professional. Once an eligible profile is claimed, the verified profile owner may be able to update or replace certain information, descriptions, logos, images and other profile content, subject to Reedleys policies and applicable plan features. Claiming a profile does not automatically validate historical information previously obtained from third-party or public sources, and it does not give ownership of factual public information or a right to remove accurate information merely because it is inconvenient.

Corrections and rights requests

We encourage businesses, professionals and rights holders to tell us if directory information or content is inaccurate, outdated, misleading or potentially infringes their rights. A request may relate, for example, to incorrect business or professional information, an outdated or incorrect logo, a trademark or brand asset, an image, a profile description, incorrect contact information, duplicate profiles, or content alleged to infringe intellectual property or other legal rights. We may ask for enough information to identify the relevant profile or content and, where appropriate, information reasonably necessary to verify the identity or authority of the person making the request. Following review, we may correct, update, replace, restrict, disable or remove the relevant content where appropriate. Submitting a request does not automatically require removal of an entire directory profile: we may continue to display factual directory information where its publication is lawful and consistent with these terms, while correcting or removing specific disputed material where appropriate.

Copyright and takedown notices

If you believe that content available through Reedleys infringes copyright or another intellectual property right, you may submit a rights or takedown notice through our contact process. The notice should provide enough information for us to identify (1) the protected work or right concerned; (2) the material or profile alleged to infringe it; (3) the location of the disputed material on Reedleys; (4) your contact information; (5) the basis on which you are entitled to make the request; and (6) any other information reasonably necessary for us to assess it. We may temporarily restrict or remove disputed content while a request is being reviewed where appropriate. We may reject requests that are incomplete, fraudulent, abusive, clearly unfounded or submitted by a person who cannot reasonably demonstrate authority to act in relation to the relevant rights. Nothing in this section limits any rights or obligations that apply under applicable copyright, trademark, privacy, data protection or other laws.

No endorsement

Unless a profile specifically displays a Reedleys verification, Recognition, award or other status issued in accordance with the applicable Reedleys rules, the inclusion of a business or professional in the directory should not be interpreted as approval, certification, recommendation, endorsement or recognition by Reedleys. Directory information, customer ratings, verification status, Reedleys Recognition and other Reedleys distinctions are separate features and should be interpreted according to the rules applicable to each.

Acceptable use

You agree not to misuse the Service. In particular, you must not submit false, misleading or fraudulent information; impersonate another person or business; infringe the rights of others; attempt to manipulate ratings, reviews or search results; scrape, copy or resell the directory data at scale; interfere with the security or operation of the site; or use the Service for any unlawful purpose. We may suspend or terminate access for breach of these terms.

Disclaimers

The Service is provided on a reasonable-efforts basis, "as is" and "as available". We do not warrant that it will be uninterrupted or error-free, or that any listing, rating, review or other information is complete or accurate. Recognition ratings are opinions, not guarantees, and you should carry out your own checks before relying on any listing or dealing with any organization or professional found through the directory. Reedleys is not a party to any transaction between users and the businesses or professionals listed.

Liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental or consequential loss, or for any loss of profit, revenue, goodwill or data, arising from your use of, or inability to use, the Service or from your reliance on any listing, rating or review. Where liability cannot lawfully be excluded, our total liability is limited to the amount you paid us in the twelve months before the event giving rise to the claim. Nothing in these terms limits any liability that cannot be limited under applicable law.

Changes to these terms

We may update these terms from time to time. When we do, we will revise the "last updated" date above, and material changes may be highlighted on the site. Your continued use of the Service after a change takes effect means you accept the updated terms.
